Theoc Drivers Terms of Service
Version: 2 Effective date: October 30, 2026 Last updated: October 30, 2026
These Terms of Service (the "Terms") are a binding agreement between you and Shadeka Lashana Theoc d/b/a Theoc Drivers ("Theoc," "we," "us"). They govern your use of the Theoc Drivers mobile app, website and related services (the "Services").
PLEASE READ SECTION 17 CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION, NOT IN COURT, AND IT WAIVES CLASS ACTIONS AND JURY TRIALS. YOU MAY OPT OUT WITHIN 30 DAYS (SECTION 17.7).
By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. What Theoc is (and is not)
1.0 Theoc is only a technology platform. Theoc provides software that connects Customers with independent Providers. Theoc does not provide towing, car-wash or mechanic services, is not a towing company, carrier, repair shop or employer of Providers, and does not direct or control how a Provider performs any job. Each service is a contract directly between the Customer and the Provider.
1.1 Theoc is a technology marketplace. The Services let people who need help with a vehicle ("Customers") find and connect with independent professionals ("Providers") who offer:
- Towing
- Mobile Car Wash
- Mechanic services
Other service types are listed as "coming soon" and are not available until we announce them.
1.2 Theoc is not a towing company, car wash, repair shop, motor carrier or employer of Providers. Theoc does not:
- provide towing, washing, repair or transportation services;
- own or operate the trucks, vans or equipment; or
- direct or control how a Provider performs a job.
The Provider alone provides each service and is responsible for it. Any contract for those services is between the Customer and the Provider.
1.3 The Provider is independent. We do not guarantee that a Provider will be available, will accept a request, or will arrive by an estimated time.
2. Eligibility and accounts
2.1 You must be at least 18 years old and able to form a binding contract. Providers must also meet the requirements in Section 4.
2.2 You agree to give accurate information and keep it current. This includes your name, contact details and vehicle details. You are responsible for all activity on your account and for keeping your login secure. One person per account; accounts are not transferable.
2.3 We may refuse, suspend or close accounts as described in Section 10.
3. Using the Services as a Customer
3.1 Requests. When you submit a request, you must give:
- your accurate location;
- the service you need;
- a truthful description of the problem; and
- your vehicle's make, model, color and license plate.
You confirm that you own the vehicle or have the right to authorize service on it.
3.2 Matching and accepted jobs.
- We offer your request to approved Providers nearby who offer that service.
- Once a Provider accepts, you will see their photo, first name, vehicle, plate and rating, and their live location and estimated arrival time.
- Check the plate and the photo before handing over your vehicle or keys.
3.3 Send help to a friend. You may request help for another person (a "Friend").
- A non-refundable $5.00 friend-request fee is added to that job. It is shown before you confirm.
- You confirm that you have the Friend's permission to share their name, phone number and location with us and the Provider.
- You are responsible for payment for the job.
3.4 Safety. In an emergency, injury or dangerous traffic situation, call 911 first. The Services are not an emergency service.
3.5 Your vehicle and belongings. Remove valuables before service. Tell the Provider about any known damage, leaks, modifications or special towing needs, such as all-wheel drive or a low clearance.
4. Using the Services as a Provider
4.1 Independent contractor. Providers are independent businesses and contractors, not employees, agents, joint venturers or partners of Theoc. As a Provider:
- You decide whether and when to go online.
- You choose which requests to accept or decline.
- You decide which services you offer, and the means and methods of your work.
- You may work for other platforms and customers, including competitors.
Nothing in these Terms creates an employment relationship. You are responsible for your own:
- taxes;
- business expenses;
- equipment, fuel and vehicle;
- licenses and permits; and
- insurance.
We may issue tax forms (for example, Form 1099) where the law requires.
4.2 Requirements, background checks and approval. To be approved you must provide the information we request and keep it valid. This may include:
- a valid driver's license;
- vehicle registration;
- commercial auto, garage-keepers, on-hook/cargo and general liability insurance, at levels the law and Theoc require;
- any towing, repair or business licenses required where you work; and
- consent to a background and driving-record check, where the law allows.
New Provider accounts start as pending. You cannot go online or accept jobs until Theoc approves you. Approval is at Theoc's discretion and may be withdrawn.
4.3 Performing services. You agree to:
- perform services safely, lawfully, and with the care of a reasonably skilled professional;
- follow all traffic, towing, environmental (including wash-water runoff) and consumer-protection laws;
- verify the vehicle (make, model, color and plate) before starting; and
- document the vehicle's condition (for example, with photos) before and after service.
Do not perform work the Customer has not authorized. Do not charge more than the agreed amount without the Customer's consent in the app.
4.4 Insurance and responsibility. You are solely responsible for loss of or damage to Customer vehicles and property, and for injuries, that arise from your services. You must keep the insurance described in Section 4.2. You agree to indemnify Theoc as described in Section 15.
4.5 Location. While you are online or on a job, the app collects your precise location and shares it with the Customer, as described in the Privacy Policy.
5. Prices, payments and fees
5.1 Prices. The Provider and Customer agree on the price for each job in the app. The Customer sees the total, including any friend-request fee, before paying.
5.2 Payment methods. Theoc supports two payment methods:
- Card (in the app): the default and recommended method. Card payments are processed by our third-party payment processor, which may be Stripe, under its own terms.
- Cash (in person): paid directly to the Provider at the end of the job.
Every job, cash or card, must be recorded in the app with its amount.
5.3 Platform commission.
- Theoc charges Providers a commission on each completed job. It is currently 10% of the job amount, and Theoc may set it anywhere between 10% and 15% with notice to Providers.
- The app shows the job amount, the commission and the Provider's payout for each job.
- Card jobs: the commission is deducted before the payout.
- Cash jobs: the Provider collects the full amount and owes Theoc the commission. Owed commission appears as a running balance in the Provider app.
- Providers agree to pay owed commission by the method and deadline Theoc specifies. Theoc may deduct owed commission from future card payouts.
- Theoc may limit or suspend access to cash jobs, or to the Services, while a balance is past due.
5.4 Friend-request fee. The $5.00 friend-request fee is charged to the Customer, is kept by Theoc, and is non-refundable unless the request is cancelled before any Provider accepts it.
5.5 Taxes. Prices may include or be subject to applicable taxes. Providers are responsible for taxes on their earnings.
5.6 Receipts and disputes. Receipts are available in job history. Report a charge problem within 30 days at support@theocdrivers.com. Unjustified chargebacks may lead to account suspension.
6. Cancellations and refunds
6.1 Before a Provider accepts. A Customer may cancel at no charge.
6.2 After a Provider accepts.
- A Customer may cancel at any time.
- If the Provider is already on the way or has arrived, a cancellation fee may apply. This compensates the Provider for their time and travel.
- Any fee will be shown in the app before you confirm the cancellation.
- No cancellation fee applies if the Provider is significantly later than the estimated arrival time, or is not the person or vehicle shown in the app.
6.3 Provider cancellations. Providers should cancel only for good reason, such as safety, a vehicle mismatch, or work that is not what was described. Frequent cancellations may affect a Provider's account.
6.4 Refunds.
- If a service was not provided, or was materially different from what was requested, contact us within 30 days. We will review the job record, chat and location data.
- Theoc may issue a refund or credit for card payments at its discretion. That decision does not change the Provider's responsibility for the quality of the service.
- Cash payments are between the Customer and the Provider, but we will help mediate.
6.5 Skipping a Provider. After a Provider accepts a job, and before the work starts, a Customer may skip that Provider. The job goes back to searching, the skipped Provider is not matched to that job again, and the Customer is not charged for the skip. If no other Provider is nearby, the app will warn you that the wait may be long. Repeated or abusive skipping may limit your account.
7. Ratings, reviews and user content
After a completed job, the Customer may rate the Provider (1–5 stars) and leave an optional written review. Only the Customer on that job may review it, and only once.
- Ratings must be honest and based on the job.
- Do not offer anything in exchange for a rating, and do not include personal information or abusive content.
- We may remove ratings that violate these Terms.
- Average ratings are shown to other users and may affect access to the Services (Section 10).
- License. You give Theoc a worldwide, royalty-free, perpetual, non-exclusive, transferable and sublicensable license to host, display, reproduce, translate, adapt and publish your reviews, ratings, photos and other content in connection with the Services and their promotion.
- No defamation. Reviews must be truthful statements of your own experience. Do not post false statements of fact, defamatory, harassing, discriminatory, obscene or infringing content, or private information about anyone. You are solely responsible for what you post.
- Removal. Theoc may refuse, edit for length or privacy, or remove any review or content at any time, but has no duty to monitor or remove it. Reviews are the opinions of users, not of Theoc.
8. Communications
8.1 Masked calls and chat. In-app chat and masked calls let you contact the other party about an active job without revealing real phone numbers. Masked calls are provided by a telecommunications vendor, which may be Twilio. Use these channels only for the job. Masked numbers expire after the job.
8.2 Messages from Theoc. You agree to receive service messages related to your account and jobs. These may come by push notification, email, SMS or in-app message. Message and data rates may apply. You can opt out of marketing messages at any time.
9. Prohibited conduct
You agree not to:
- violate any law, or use the Services for anything unsafe, fraudulent or illegal (including towing a vehicle you are not authorized to move);
- harass, threaten, discriminate against or harm anyone;
- arrange or take payment for a Theoc job outside the app to avoid fees ("taking the job off the app"), or fail to record a cash job;
- misrepresent your identity, vehicle, license, insurance or qualifications, or let someone else use your Provider account;
- submit false requests, false ratings or fraudulent chargebacks;
- photograph, record or share another user's personal information except as needed for the job;
- use the other party's contact details or location for anything other than the job;
- carry passengers in a tow vehicle unless the law and the Provider allow it;
- be impaired by alcohol or drugs while providing services; or
- interfere with the Services. This includes scraping, reverse engineering, bypassing security rules, or using bots.
10. Suspension and deactivation
We may warn, suspend, limit or deactivate any account, with or without notice where appropriate, if we reasonably believe:
- you violated these Terms or the law;
- there is a safety or fraud risk; or
- for Providers:
- your rating falls below the minimum standard we publish;
- your cancellation rate is excessive;
- your required documents have lapsed; or
- you have a past-due commission balance.
Where the law requires, and where it is safe to do so, we will tell you the reason and give you a way to ask for review at support@theocdrivers.com.
11. Account deletion
You may delete your account at any time in the app (Profile → Delete my account), at https://theoc-drivers.web.app/legal/delete-account.html, or by emailing support@theocdrivers.com.
- You cannot delete your account while a job is open.
- Deletion is permanent.
- We keep some records after deletion as described in our Privacy Policy. These include job, payment, commission and tax records, and safety reports.
- Any amounts you owe, including commission owed on cash jobs, remain due.
12. Your content and our license
You keep ownership of the content you submit, such as photos, messages and ratings. You give Theoc a non-exclusive, royalty-free, worldwide license to use, store, display and process that content to operate, improve and promote the Services, as described in the Privacy Policy. You confirm that you have the rights to the content you submit.
The Services, the app and the Theoc name and logo belong to Theoc and its licensors. We give you a limited, revocable, non-transferable license to use the app for its intended purpose.
13. Third-party services and app stores
The Services rely on third parties, which may include Google (Firebase, Maps), Twilio and Stripe. Their terms and privacy policies may apply. Theoc is not responsible for third-party services.
If you downloaded the app from Google Play:
- these Terms are between you and Theoc, not Google;
- Google has no obligation to provide maintenance or support for the app; and
- your use must also comply with the Google Play Terms of Service.
13A. Safety, assumption of risk and company names
13A.1 Your duty to keep yourself and your property safe. Roadside situations can be dangerous. You are responsible for your own safety and for your vehicle and belongings. Stay in a safe place away from traffic, call 911 in an emergency, remove valuables from your vehicle, and do not let anyone work on your vehicle if you feel unsafe. Theoc is not an emergency service.
13A.2 Assumption of risk. You understand that roadside assistance, towing, washing and mechanical work involve risks, including property damage, injury and delay. To the fullest extent the law allows, you voluntarily assume those risks when you request or accept a service through Theoc.
13A.3 Provider conduct. Providers are independent third parties. Theoc does not employ, supervise or control them and is not responsible for their acts, omissions, statements, work, licenses, insurance or vehicles. Any background or document check Theoc performs is limited and is not a guarantee of anyone's identity, safety or qualifications.
13A.4 Company names. A Provider may show a business name. Theoc does not verify or endorse that business, and the business — not Theoc — is responsible for the service.
14. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
- To the fullest extent the law allows, Theoc disclaims all warranties, express or implied. This includes merchantability, fitness for a particular purpose, and non-infringement.
- Theoc does not warrant or guarantee the quality, safety, timing or legality of any Provider's services, or any user's conduct.
- Theoc does not guarantee that the Services, maps, locations or arrival-time estimates will be accurate, uninterrupted or error-free.
Vehicle damage.
- Theoc does not inspect vehicles or supervise Providers. Theoc is not responsible for damage to vehicles, equipment or personal property that occurs during, or because of, towing, washing, repair or other services.
- Claims for such damage must be made against the Provider and the Provider's insurance. Theoc may, at its discretion, help share job records with the parties and their insurers.
Some states do not allow certain disclaimers, so some of the above may not apply to you.
15. Indemnity
To the extent the law allows, you (whether a Customer or a Provider) will defend, indemnify and hold harmless Theoc and its officers, employees and agents from claims, losses and expenses (including reasonable attorneys' fees) arising from:
- your use of the Services;
- your violation of these Terms or the law; or
- your content, including reviews;
- your dispute with any other user; and
- for Providers, the services you perform, including damage to vehicles or property and injuries.
16. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS:
- (a) No indirect damages. THEOC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR USE, ARISING FROM THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.
- (b) No liability for Providers or users. THEOC WILL NOT BE LIABLE FOR DAMAGES, PROPERTY DAMAGE, PERSONAL INJURY OR DEATH CAUSED BY ANY PROVIDER, CUSTOMER OR THIRD PARTY, OR BY ANY SERVICE PERFORMED BY A PROVIDER.
- (c) Cap. THEOC'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO THEOC (FOR CUSTOMERS, FEES PAID TO THEOC; FOR PROVIDERS, COMMISSIONS PAID TO THEOC) IN THE 6 MONTHS BEFORE THE CLAIM, OR (ii) US $100.
These limits do not apply to liability that the law does not allow to be limited, such as liability for gross negligence or willful misconduct where state law prohibits limiting it.
17. Dispute resolution: arbitration and class-action waiver
17.1 Informal resolution first. Before filing a claim, you agree to email support@theocdrivers.com with a description of the dispute and to try in good faith to resolve it for 30 days. We will do the same for claims against you.
17.2 Agreement to arbitrate. You and Theoc agree that any dispute, claim or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration, not in court. This covers past, present and future disputes, and disputes about whether this section applies. The Federal Arbitration Act governs this section.
17.3 Exceptions. Either party may:
- bring an individual claim in small-claims court, if it qualifies;
- seek an injunction in court for intellectual-property infringement or misuse of the Services; or
- report matters to government agencies.
17.4 Rules and forum.
- Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Providers' claims will follow the AAA Commercial Rules, or the Employment/Workplace Rules where the arbitrator finds those apply.
- The arbitrator may award the same individual relief a court could.
- Hearings may take place by video, or in the county where you live.
- Theoc will pay filing and arbitrator fees beyond what you would pay to file in court, unless the arbitrator finds your claim frivolous.
17.5 CLASS-ACTION AND JURY-TRIAL WAIVER. YOU AND THEOC MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. YOU AND THEOC WAIVE THE RIGHT TO A JURY TRIAL. If this waiver is found unenforceable for a particular claim, that claim must be severed and heard in court, and the rest of the arbitration agreement still applies.
17.6 Mass filings and batch arbitration. If 25 or more similar demands are filed by or with the help of the same counsel or coordinated group, they will be administered in batches of up to 25 demands, one batch at a time, with one arbitrator per batch, under the AAA's Mass Arbitration Supplementary Rules. Fees are assessed per batch. Statutes of limitation are paused for demands while they wait for their batch. A court may enforce this paragraph.
17.7 30-day opt-out. You may opt out of this arbitration agreement within 30 days after you first accept these Terms. To opt out, email support@theocdrivers.com with the subject "Arbitration Opt-Out," and include your name and the email or phone on your account. Opting out does not affect any other part of these Terms.
17.8 Changes. If we change this section, the change will not apply to a dispute we already knew about before the change.
18. Governing law and venue
These Terms are governed by the laws of the State of Florida and applicable federal law, without regard to conflict-of-laws rules. Arbitration is governed by Section 17. Any court proceedings permitted under these Terms will be brought exclusively in the state courts located in Broward County, Florida, or the U.S. District Court for the Southern District of Florida, and both parties consent to jurisdiction and venue there.
19. Changes to the Services or these Terms
We may change the Services, or these Terms. If a change is material, we will give you notice in the app or by email at least 14 days before it takes effect, unless the change is required by law or for safety. Each version of these Terms has a version number. When we publish a new version, the app will ask you to accept it before you can request a job (Customers) or go online (Providers). Continuing to use the Services after the effective date means you accept the changes.
Clickwrap acceptance. You accept these Terms by checking the box "I agree to the Terms of Service and Privacy Policy" (or a similar statement) and tapping to continue. We record the version you accepted and the date and time.
20. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Theoc about the Services.
- Severability. If any part is unenforceable, the rest stays in effect.
- No waiver. Our failure to enforce a provision is not a waiver.
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including hurricanes and other severe weather, floods, fire, pandemics, power, internet or mobile-network outages, failures of third-party services (such as maps, hosting or payment providers), road closures, government orders, labor disputes and civil unrest.
- Survival. Sections 5 (for amounts owed), 7 (license to content), 12, 13A, 14, 15, 16, 17, 18 and 20 survive the end of these Terms or the deletion of your account.
- Electronic communications. You agree to receive notices, agreements, disclosures and other communications from us electronically (in the app, by email, push notification or text message), and that these satisfy any legal requirement that they be in writing. Standard message and data rates may apply.
- Electronic signature. Your clicks, checkboxes and typed name in the app are your electronic signature under the federal E-SIGN Act and the Florida Electronic Signature Act.
- Translations. The app may be shown in many languages. These Terms are written in English. Any translation is for convenience only; if there is any conflict, the English version controls.
- Notices. We may send you notices in the app or by email. You may send notices to 1227 NE 5th Terrace Unit 205, Fort Lauderdale, FL 33304-4948 or support@theocdrivers.com.
